Measures to adapt company law to Covid-19

In order to deal with the Covid-19 pandemic, Law 2020-290 of 23 March 2020 introduced a two-month “state of health emergency” and authorised the government to adapt, by means of ordinance, the rules for meetings and deliberations of assemblies and collegiate management bodies of private-law entities, as well as the timetable for presentation and approval of their accounting and financial documentation.

 

These ordinances, no. 2020-321 and no. 2020-318, were published in the Official Journal on 26 March 2020.

 

Below is a summary of the main measures set out in these orders, which were the subject of a Frequently Asked Questions document entitled “Coronavirus COVID-19 – Holding your AGM and meeting accounting deadlines in the context of the Covid-19 crisis” published by the Ministry of the Economy and Finance on 26 March 2020 (the “FAQ“).
